1 · Wyoming DAO LLC filing

Registered agent setup, Articles of Organization (DAO LLC form), operating agreement template that recognizes on-chain governance as binding, and annual report filing first year included.

2 · ERC-8004 passport

The DAO's on-chain identity gets a passport that anchors to the LLC's EIN. Every agent the DAO spawns inherits a delegation chain — ProofOfDelegation kind 30014 signed by the LLC's operator key.

3 · Compliance Hook subscription

Every agent action by the DAO's agents flows through MiCA/SEC/OFAC checks pre-wired. The audit-log tier is included (normally $499/mo standalone) for the LLC's full first year.

Why a wrapper at all?The DAO can't get sued; the LLC can.

DAOs without a legal wrapper face two questions every regulator and counterparty asks: who signs the contract? and who pays the tax? Wyoming's DAO LLC statute (Wyo. Stat. §17-31) answers both — the LLC is a legal person, can hold property, and can be sued in its own name, while its on-chain governance is recognized as binding.

Our wrapper adds two things Wyoming's statute alone doesn't: (a) the ERC-8004 passport that anchors the LLC's legal identity to its on-chain agent identity, and (b) the Compliance Hook subscription so every agent action carries a regulator-friendly attestation.
